These Terms of Service / Terms & Conditions ("Terms," "Agreement") govern all access to, use of, and engagement with the services, website, recruitment platforms, personnel, and deliverables provided by Pinnacle Alliances ("Pinnacle Alliances," "Company," "we," "us," or "our").
By accessing our website, submitting an inquiry, applying for opportunities, engaging our recruitment or staffing services, or otherwise using our services (collectively, the "Services"), you ("Client," "Customer," "Candidate," "you," or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms.
These Terms apply to all users of our website and services, including clients, job applicants, candidates, vendors, and business partners.
If you do not agree to these Terms, you must not access or use the Services.
Legal Status & Authority
By accessing or using the Services provided by Pinnacle Alliances, you represent and warrant that:
- You are at least 18 years of age
- You possess the legal authority and capacity to enter into binding agreements
- Any information provided by you is accurate and truthful
- If you are acting on behalf of a company, organization, or third party, you are fully authorized to legally bind such entity to these Terms
Any unauthorized, unlawful, or improper use of the Services, website, or recruitment platform is strictly prohibited and may result in suspension, termination, or legal action where applicable.
Definitions
For purposes of these Terms & Conditions:
- "Services" refers to recruitment, talent acquisition, staffing, candidate sourcing, workforce placement, consulting, and related professional hiring services provided by Pinnacle Alliances.
- "Candidate" means any individual applying for employment opportunities, recruitment consideration, placement, or related hiring services through Pinnacle Alliances.
- "Client" means any company, business, organization, or individual engaging Pinnacle Alliances for recruitment, staffing, or consulting services.
- "Client Data" means all information, job requirements, documents, communications, credentials, records, and materials provided by or on behalf of the Client.
- "Candidate Data" means resumes, employment history, qualifications, references, interview records, applications, and related personal or professional information submitted by candidates.
- "Deliverables" means recruitment results, candidate recommendations, hiring support, reports, documentation, or other work products produced during the Services.
- "Confidential Information" means all non-public, proprietary, business, technical, or personal information disclosed by either party in connection with the Services.
- "Agreement" means these Terms of Service, together with any written proposal, service agreement, engagement letter, or related business document entered into between the parties.
- "Website" means all websites, domains, portals, communication channels, and online platforms operated by Pinnacle Alliances.
SMS Communications
Pinnacle Alliances may offer optional SMS communications to candidates, applicants, client contacts, and other individuals who have expressly agreed to receive them.
Depending on the relationship and consent provided, messages may include inquiry updates, requested information, appointment reminders, application notifications, interview reminders, credentialing and onboarding updates, assignment or placement administrative updates, staffing-request updates, and candidate or customer-support communications.
SMS consent must be provided separately and affirmatively where required. Merely accessing the website, submitting a form, providing a telephone number, applying for an opportunity, or accepting these Terms does not by itself constitute consent to receive SMS messages.
Message frequency may vary. Message and data rates may apply according to the recipient's mobile carrier and service plan.
Recipients may reply STOP to opt out of further SMS messages and may reply HELP for assistance. Additional support is available by emailing hello@pinnacleall.com or calling (888) 209-4549.
Consent to receive SMS messages is not a condition of applying for a position, receiving staffing consideration, submitting an inquiry, obtaining information, or purchasing services.
Pinnacle Alliances will process mobile information and SMS consent records in accordance with its Privacy Policy. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text-messaging originator opt-in data and consent will not be shared with third parties.
Participation in the Pinnacle Alliances SMS program is also governed by our separate SMS Terms. If there is a conflict between these Terms of Service and the SMS Terms regarding SMS communications, the SMS Terms will control for that subject.
Scope & Nature of Services
Recruitment & Talent Acquisition Services Only
Pinnacle Alliances provides recruitment, talent acquisition, staffing, workforce placement, and related professional hiring-support services only.
Pinnacle Alliances does not provide:
- Legal advice or legal representation
- Financial, tax, or accounting advice
- Medical, healthcare, or clinical advice
- Immigration or visa legal services
- Regulatory, licensing, or compliance determinations
- Fiduciary or professional advisory services outside the scope of recruitment and staffing
All recruitment recommendations, candidate evaluations, and related deliverables are provided for business-support purposes only and should be independently reviewed and approved by the Client before making hiring or business decisions.
No Delegation of Legal Responsibility
Engaging Pinnacle Alliances does not:
- Transfer legal or regulatory responsibility
- Satisfy employment-law or compliance obligations
- Replace internal hiring policies or controls
- Substitute independent professional or legal judgment
- Guarantee employment outcomes or business results
The Client remains solely responsible for all hiring decisions, employment practices, regulatory compliance, onboarding procedures, and business operations related to the use of our Services.
Client Responsibilities
The Client agrees to:
- Provide accurate, lawful, and complete information, instructions, and job requirements
- Ensure lawful authority to share Client Data, candidate information, and related materials
- Maintain appropriate internal oversight, supervision, and hiring decision-making authority
- Grant only the minimum necessary access to systems, platforms, or recruitment tools where applicable
- Review, validate, and approve all candidate recommendations, reports, and deliverables
- Implement appropriate administrative, technical, and organizational security controls
- Comply with all applicable U.S. employment, labor, privacy, and business laws and regulations
Pinnacle Alliances shall not be liable for failures, delays, or issues caused by:
- Inaccurate, incomplete, or misleading instructions or information provided by the Client
- Client delays, inaction, or failure to communicate necessary requirements
- Client-controlled system failures, technical issues, or third-party platform disruptions
- Unauthorized access, permissions, or credentials granted by the Client
- Hiring decisions or employment actions independently made by the Client
Client Data, Ownership & Data Processing
Ownership
All Client Data, recruitment information, hiring requirements, and related materials remain the exclusive property of the Client.
Processing Role
Pinnacle Alliances processes Client Data solely as a recruitment and staffing service provider / processor, unless otherwise expressly agreed in writing between the parties.
Candidate & Recruitment Data
Candidate information, resumes, interview records, and recruitment-related documentation are processed only for legitimate hiring, staffing, and workforce-placement purposes in accordance with applicable laws and contractual obligations.
Credentials & Access
The Client is solely responsible for:
- Issuing, managing, and protecting account credentials
- Granting, monitoring, and revoking system or platform permissions
- Securing internal systems, software, and business accounts
- Ensuring authorized access to recruitment or communication platforms
Pinnacle Alliances shall not be responsible for damages, losses, or security incidents resulting from Client-managed credentials, permissions, systems, or unauthorized access granted by the Client.
Confidentiality
Mutual Obligations
Each party agrees to:
- Protect Confidential Information using reasonable administrative, technical, and organizational safeguards
- Restrict access and disclosure to authorized employees, contractors, or representatives with a legitimate business need to know
- Use Confidential Information solely for authorized and permitted business purposes related to the Services
- Take reasonable measures to prevent unauthorized access, misuse, or disclosure of Confidential Information
Survival
Confidentiality obligations under this Agreement shall survive the termination or expiration of the Services and remain in effect unless disclosure is required by applicable law or authorized in writing by the disclosing party.
Security, Remote Work & Technology Risks
Pinnacle Alliances maintains reasonable administrative, technical, and organizational safeguards designed to protect confidential and personal information, including:
- Access controls and restricted system permissions
- Employee and contractor confidentiality agreements
- Internal security awareness and compliance training
- Secure communication and data-handling practices
- Incident-response and risk-management procedures
The Client acknowledges and agrees that:
- No system, network, or method of electronic transmission is completely secure
- Cybersecurity risks and technology disruptions cannot be entirely eliminated
- Remote-work environments may involve additional operational and security risks
- Client-side systems, devices, credentials, and internal security controls remain the sole responsibility of the Client
Fees, Billing & Payment
Fees
Service fees, recruitment charges, placement fees, and related costs are defined in:
- Service agreements
- Written proposals or engagement letters
- Statements of Work, where applicable
- Invoices and billing documents
Payment Terms
- Fees are due according to the terms stated in the applicable invoice or agreement
- Late or overdue payments may result in suspension, delay, or termination of Services
- Fees paid are non-refundable unless otherwise expressly agreed in writing by Pinnacle Alliances
Taxes
The Client is solely responsible for all applicable taxes, duties, governmental charges, and regulatory fees associated with the Services, excluding taxes imposed directly on Pinnacle Alliances' income.
Term, Suspension & Termination
Term
These Terms & Conditions shall remain in full force and effect unless and until terminated in accordance with the provisions outlined herein.
Suspension
Pinnacle Alliances reserves the right to suspend or restrict access to Services, in whole or in part, for reasons including but not limited to:
- Non-payment or overdue invoices
- Suspected security incidents or unauthorized access
- Violations of these Terms or applicable laws
- Legal, regulatory, or compliance-related concerns
- Actions that may harm the reputation, systems, or operations of Pinnacle Alliances
Termination
Either party may terminate the Services or Agreement:
- Upon written notice in accordance with any agreed contractual terms
- Immediately in the event of a material breach of these Terms
- Immediately where required by applicable law, regulation, or governmental authority
- Immediately in cases involving fraud, unlawful conduct, or security risks
Effect of Termination
Upon termination or expiration of the Services:
- All Services and related support activities shall immediately cease
- Access to systems, platforms, accounts, or confidential resources may be revoked or restricted
- Any outstanding invoices, fees, or payment obligations shall remain immediately due and payable
- Each party shall return or securely delete Confidential Information where applicable and legally permissible
- Confidentiality, limitation of liability, indemnification, payment obligations, and other provisions intended to survive termination shall continue in full force and effect
Intellectual Property
Client Materials
The Client retains all rights to Client Data and materials provided to Pinnacle Alliances.
Work Product
Unless otherwise agreed:
- Deliverables created exclusively for the Client belong to the Client
- Pinnacle Alliances retains ownership of its pre-existing tools, templates, recruitment methodologies, systems, and business know-how
Third-Party Services
Certain Services provided by Pinnacle Alliances may rely on third-party platforms, software, tools, or service providers.
Pinnacle Alliances is not responsible for:
- Third-party platform outages or interruptions
- Changes to third-party policies, services, or terms
- Security incidents, failures, or breaches involving third-party systems or providers
Warranties & Disclaimers
All Services provided by Pinnacle Alliances are offered on an "AS IS" and "AS AVAILABLE" basis.
Pinnacle Alliances disclaims all warranties, whether express or implied, including:
- Accuracy or completeness of information
- Fitness for a particular purpose
- Non-infringement of third-party rights
- Uninterrupted or error-free availability of Services
Limitation of Liability
To the maximum extent permitted by applicable law:
- Pinnacle Alliances shall not be liable for any indirect, incidental, consequential, special, or punitive damages
- Total liability arising out of or relating to the Services shall not exceed the total fees paid by the Client to Pinnacle Alliances during the preceding twelve (12) months
Compliance with Laws
Both parties agree to comply with all applicable United States laws and regulations, including but not limited to:
- Data-protection and privacy laws
- Employment, labor, and workplace laws
- Anti-bribery and anti-corruption laws
- Export-control, sanctions, and trade-compliance laws
Force Majeure
Neither party shall be held liable for any delay, interruption, or failure to perform obligations caused by events beyond reasonable control, including but not limited to natural disasters, governmental actions, infrastructure failures, labor disputes, cyber incidents, power outages, or internet and communication disruptions.
Subcontracting & Assignment
Pinnacle Alliances may engage qualified subcontractors, affiliates, or third-party service providers in connection with the Services while remaining responsible for overall service-delivery obligations.
The Client may not assign, transfer, or delegate this Agreement or any related rights or obligations without prior written consent from Pinnacle Alliances.
Governing Law & Jurisdiction
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Ohio, United States, without regard to conflict-of-law principles.
Any legal action, dispute, or proceeding arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Ohio, United States.
Dispute Resolution
The parties agree to attempt to resolve any disputes, claims, or disagreements through good-faith discussions and negotiations prior to initiating formal legal proceedings or litigation.
Modifications to Terms
Pinnacle Alliances reserves the right to update or modify these Terms at any time. Continued access to or use of the Services after updates are posted constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement
These Terms constitute the entire agreement between the parties regarding the Services unless superseded by a separate written agreement, contract, or Statement of Work ("SOW").
